01Acceptance of Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("you", "Client", or "User") and Asili Language Services ("ALS", "we", "us", or "our"), operating the website and platform available at this domain (the "Platform").
By accessing the Platform, creating an account, enrolling in a course, or placing an order for any service, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Platform.
If you use the Platform on behalf of a company or organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
02Definitions
- "Services"
- The language learning programs and professional language services offered through the Platform, including Translation, Interpretation, Editing & Proofreading, Multimedia (subtitling, transcription, voice-over), and Localization.
- "Order"
- A request for Services submitted through the Platform and confirmed by ALS, including any accepted quote, statement of work, or course enrollment.
- "Deliverables"
- The translated, interpreted, edited, localized, or otherwise processed materials produced by ALS under an Order.
- "Source Materials"
- Documents, audio, video, software strings, or other content you provide to us for the performance of Services.
- "Linguist" or "Provider"
- A qualified translator, interpreter, editor, instructor, or other language professional engaged by ALS to perform Services.
03Eligibility & Accounts
You must be at least 18 years old to create an account or place an Order. Learners under 18 may use the learning programs only with the consent and supervision of a parent or legal guardian, who accepts these Terms on their behalf.
When you register, you agree to:
- provide accurate, current, and complete information and keep it updated;
- keep your login credentials confidential and not share your account;
- notify us immediately of any unauthorized use of your account.
You are responsible for all activity that occurs under your account. We may suspend accounts that appear compromised or fraudulent.
04Our Services
ALS provides two categories of offerings:
4.1 Language learning
Structured courses, lessons, tutoring, and learning materials designed to help clients learn languages, delivered online, in person, or in blended formats as described on the Platform.
4.2 Professional language services
Project-based work performed by qualified Linguists, in the following categories:
- Translation Services โ written translation of documents and content between supported language pairs;
- Interpretation โ spoken interpretation (consecutive, simultaneous, remote, or on-site) for meetings, conferences, and events;
- Editing & Proofreading โ review, correction, and refinement of written content;
- Multimedia โ transcription, subtitling, captioning, dubbing, and voice-over services;
- Localization โ cultural and technical adaptation of websites, software, apps, and marketing content for target markets.
Service descriptions, language pairs, turnaround options, and pricing displayed on the Platform are indicative and may be refined in an individual quote. We may modify, add, or discontinue offerings at any time; changes do not affect Orders already confirmed.
05Orders, Quotes & Payment
5.1 Quotes and confirmation
Quotes are prepared based on the Source Materials and requirements you provide. A quote is valid for 14 days unless stated otherwise. An Order becomes binding when we confirm it in writing (including by email or through the Platform). If the actual scope differs materially from what was disclosed (for example, longer files, additional languages, or poor-quality source audio), we may issue a revised quote before continuing.
5.2 Pricing and taxes
Prices are stated in the currency shown at checkout or on the quote. Prices are exclusive of applicable taxes (including VAT), duties, and bank or payment-processor charges, which are your responsibility unless stated otherwise.
5.3 Payment terms
- Course enrollments and standard orders are payable in advance unless otherwise agreed.
- Large or corporate projects may be split into milestones or a deposit plus balance, as stated in the quote.
- Invoices, where issued, are payable within 14 days of the invoice date unless otherwise agreed.
- Late payments may accrue interest at a reasonable statutory rate and may result in suspension of work or withholding of Deliverables until payment is received.
5.4 Payment processing
Payments are processed by third-party payment providers. We do not store full card numbers or mobile-money PINs. Your use of a payment provider is also subject to that provider's terms.
06Language Learning Terms
- Enrollment. Enrollment is confirmed on receipt of payment and grants a personal, non-transferable right to attend the course or access the materials for the stated duration.
- Scheduling. Live lessons must be rescheduled or cancelled at least 24 hours in advance; lessons missed without notice may be forfeited.
- Materials. Course materials are licensed for your personal study only and may not be copied, shared, resold, or republished.
- Progress. Learning outcomes depend on your participation; we do not guarantee attainment of any specific proficiency level, examination result, or certification.
- Conduct. Learners must treat instructors and other learners with respect. We may remove a learner for disruptive or abusive behavior without refund of the affected sessions.
07Client Responsibilities
For professional services Orders, you agree to:
- provide complete, legible, and final Source Materials, together with any reference materials, glossaries, style guides, or terminology preferences;
- confirm the intended purpose and audience of the Deliverables (e.g., publication, legal filing, internal use), as this affects how the work is performed;
- respond to reasonable queries from ALS or the assigned Linguist in a timely manner;
- warrant that you have all rights necessary to provide the Source Materials to us and that they do not infringe any third-party rights or violate any law;
- for interpretation assignments, provide agendas, speaker notes, or presentations in advance where available, and suitable working conditions on site.
Delays or defects caused by incomplete, changed, or late Source Materials may extend deadlines and adjust pricing accordingly.
08Linguists & Providers
Services are performed by ALS staff or by vetted independent Linguists engaged by ALS. Regardless of who performs the work, your contract is with ALS, and ALS remains responsible to you for the Deliverables.
You agree not to solicit, hire, or engage directly any Linguist introduced to you through the Platform to provide the same or similar services, bypassing ALS, for a period of 12 months after your last Order, except with our written consent.
Linguists and applicants who register on the Platform to offer services agree to any separate provider agreement presented to them, which governs assignments, quality standards, confidentiality, and payment.
09Delivery, Revisions & Acceptance
9.1 Delivery
Deliverables are delivered electronically through the Platform or by email, in the format agreed in the Order. Delivery deadlines are firm commitments where expressly agreed; otherwise they are good-faith estimates.
9.2 Review period and revisions
You have 14 days from delivery to review the Deliverables and notify us of any defects, specifying them in reasonable detail. We will correct genuine errors (mistranslations, omissions, grammatical or typographical errors) at no additional charge. Preferential changes โ stylistic rewording, changes to the Source Materials, or new requirements โ are not defects and may be quoted separately.
9.3 Acceptance
Deliverables are deemed accepted if no defect is notified within the review period, or upon your first productive use of them (e.g., publication or filing), whichever comes first.
10Intellectual Property
- Your materials. You retain all rights in your Source Materials. You grant ALS a limited license to use them solely to perform the Services.
- Deliverables. Upon full payment, ALS assigns to you the rights in the Deliverables to the extent ALS holds them, for your intended use. Until full payment, all rights in the Deliverables remain with ALS.
- ALS materials. The Platform, our courseware, teaching materials, translation memories, glossaries, methodologies, and branding remain the property of ALS or its licensors. We may retain and reuse translation memories and terminology databases in anonymized form to maintain quality and consistency.
- Trademarks. "Asili Language Services" and associated logos may not be used without our prior written consent.
11Confidentiality
We treat all Source Materials and non-public information you provide as confidential. We will not disclose them except to personnel and Linguists who need access to perform the Services and who are bound by confidentiality obligations, or where disclosure is required by law.
On request, we will sign a reasonable non-disclosure agreement for sensitive projects, and we can arrange secure handling procedures for legal, medical, or otherwise regulated content.
12Acceptable Use
You must not use the Platform or the Services to:
- submit or request work on content that is unlawful, defamatory, infringing, or that promotes violence, hatred, or exploitation;
- violate any applicable law or the rights of any person;
- upload malware or attempt to gain unauthorized access to the Platform, other accounts, or our systems;
- scrape, copy, or resell Platform content or Services without authorization;
- misrepresent your identity or the origin of materials.
We may decline, suspend, or cancel any Order that, in our reasonable judgment, involves prohibited content or unlawful purposes, and we may report unlawful activity to relevant authorities.
13Cancellations & Refunds
13.1 Service orders
- You may cancel an Order before work begins for a full refund, less any non-recoverable payment-processing fees.
- If you cancel after work has begun, you will pay for the portion of work completed up to the time of cancellation, plus any non-cancellable third-party costs (e.g., interpreter travel bookings).
- Interpretation assignments cancelled less than 48 hours before the scheduled start may be charged in full or in part, as stated in the quote.
13.2 Learning programs
- Course cancellations made at least 7 days before the start date receive a full refund, less processing fees.
- After a course has started, refunds are pro-rated for unconsumed sessions where the cancellation is for good cause; consumed sessions and delivered materials are non-refundable.
13.3 Our cancellations
If we cancel a course or cannot perform an Order for reasons within our control, you will receive a full refund of amounts paid for the unperformed part, or, at your choice, a credit or rescheduling.
Refunds are issued to the original payment method within a reasonable period, typically 14 days. Nothing in this section limits any non-waivable rights you have under applicable consumer protection law.
14Disclaimers
We warrant that Services will be performed with professional skill and care by qualified Linguists, consistent with industry standards. Except as expressly stated in these Terms, the Platform and Services are provided "as is", and we disclaim all other warranties, express or implied, to the maximum extent permitted by law.
In particular, and without limiting the above:
- translation and language work involves professional judgment; there is often more than one correct rendering of a text;
- we are not responsible for the accuracy, legality, or consequences of the content of your Source Materials;
- Deliverables are not legal, medical, financial, or other professional advice, even where the source content concerns those fields;
- certified or sworn translations are provided to the certification standard stated in the Order; acceptance by any authority remains at that authority's discretion.
15Limitation of Liability
To the maximum extent permitted by law:
- our total aggregate liability arising out of or relating to an Order is limited to the amount you paid for that Order;
- we are not liable for indirect, incidental, special, or consequential loss, loss of profit, revenue, goodwill, or data, or business interruption;
- we are not liable for delays or failures caused by events beyond our reasonable control (force majeure), including power or network outages, strikes, epidemics, or acts of government.
Nothing in these Terms excludes or limits liability for fraud, gross negligence, death or personal injury caused by negligence, or any liability that cannot be excluded under applicable law.
Any claim must be brought within 12 months of the date the Deliverables were delivered or the Services performed.
16Indemnification
You agree to indemnify and hold ALS, its staff, and its Linguists harmless from any claims, damages, and reasonable costs (including legal fees) arising from: (a) your Source Materials, including any claim that they infringe third-party rights or violate the law; (b) your use of the Deliverables for a purpose other than the one disclosed to us; or (c) your breach of these Terms.
17Suspension & Termination
You may close your account at any time. We may suspend or terminate your account or access to the Platform if you materially breach these Terms, fail to pay amounts due, or use the Platform unlawfully. Where practicable, we will give you notice and an opportunity to remedy the breach.
Termination does not affect accrued rights and obligations. Sections concerning payment, intellectual property, confidentiality, disclaimers, liability, indemnification, and governing law survive termination.
18Governing Law & Disputes
These Terms are governed by the laws of the United Republic of Tanzania, without regard to conflict-of-law rules. If you are a consumer in another jurisdiction, you also retain any mandatory protections of the law of your country of residence.
We prefer to resolve issues directly: contact us first and we will try in good faith to resolve any dispute within 30 days. Failing amicable resolution, disputes shall be referred to the competent courts of Dar es Salaam, Tanzania, or, if both parties agree in writing, to arbitration in Dar es Salaam under the applicable arbitration rules of Tanzania. Either party may seek urgent injunctive relief in any competent court.
19Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, the law, or best practice. For material changes, we will give at least 14 days' notice by email or Platform notice before the new Terms take effect. Changes do not apply retroactively to Orders already confirmed. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
